Заочное голосование (опрос) — РФ equivalent of US written consent. Регулируется ст.181.2 ГК + ст.38 ФЗ-14 (ООО) + ст.50 ФЗ-208 (АО). Critical specifics: для АО заочно НЕЛЬЗЯ решать определённые вопросы (избрание СД, реорганизация, ликвидация — ст.50 ФЗ-208), для ООО — также ограничения по уставу. Все ОСУ решения для ООО требуют нотариального удостоверения по умолчанию (ст.67.1 ГК с 2014).
